General Terms and Conditions
qSkills™ GmbH & Co. KG
In the event of any differences or contradictions between the German and English versions of these Terms and Conditions, the German version shall take precedence. The English translation is provided solely as an additional service for our international customers.
1. Validity
The business relationship between qSkills™™ GmbH & Co. KG and the customer shall be governed exclusively by the following General Terms and Conditions in the version valid at the time of registration. qSkills™™ GmbH & Co. KG does not recognize any deviating terms and conditions of the customer, and these shall not become part of the contract unless qSkills™™ GmbH & Co. KG has expressly agreed to them in writing.
2. Registration - Confirmation of Appointment
Registrations can be made in writing by email (info@qskills.de) or via the qSkills™ online registration form. They are binding for the customer. After receipt of the registration, the customer will receive a confirmation of the appointment from us. The training contract takes effect upon dispatch of the appointment confirmation, but no later than the commencement of the training.
3. Hotel Reservation
If you would like us to make a hotel reservation for you, please let us know at the time of registering with qSkills™. We will make the desired hotel reservations on behalf of and at the expense of the customer.
4. Services
All prices quoted are exclusive of statutory value-added tax. The seminar prices include the event documents as well as the necessary use of the technical equipment and systems in the qSkills™ course rooms. In addition, lunch and drinks during breaks are included. Other expenses of the customer, such as travel and accommodation costs, are not included in the training price.
5. Licenses
Any licenses provided to the participant during the training may only be used for the duration and purpose of the training. Use of the licenses outside of the training or its purpose is prohibited for the participant. Any violation may be subject to penalties.
6. Internet Use
Use of the Internet is permitted exclusively for training purposes.
7. Training Materials
The training materials reflect the technical status at the time of the training. We do not guarantee that the information will remain valid for future hardware or software releases. If materials are provided to the customer, the customer is granted a non-exclusive and non-transferable right to use them. The customer undertakes to comply with the copyrights of us and our licensors and not to copy, modify, and/or disclose the training materials to third parties. No part thereof may be exploited in Germany or abroad without written permission from us outside the strict limits of copyright law.
8. Fees, Invoicing
The invoice amount is due for payment immediately upon receipt of the invoice without deduction.
Agreed price discounts refer to the EURO course price displayed on the website. The discounts do not apply to prices in manufacturer currencies or vouchers.
In the case of settlement via vouchers (including manufacturer currencies), qSkills™ GmbH & Co. KG reserves the right to charge the amount stated on the website directly to the customer if the manufacturer vouchers are not usable at the start of the course.
qSkills™ GmbH & Co. KG undertakes to inform the customer of the non-usability of the manufacturer vouchers.
9. Statute of Limitations
For projects comprising multiple training courses, all training courses must be completed within one year, starting with the first training course. If the customer wishes to take training courses after more than one year, qSkills™ GmbH & Co. KG reserves the right to charge the customer for any price changes. The prices on the qSkills™ website are decisive in this regard.
10. Registration Confirmation, Appointment Confirmation, Cancellation
a) Open Trainings at the premises of qSkills™ GmbH & Co. KG
The receipt of the registration by the customer will be confirmed promptly (registration confirmation). However, a contractual commitment only arises with the appointment confirmation, which will be sent to the customer by qSkills™ GmbH & Co. KG, if possible, 14 calendar days before the start of the workshop. Until this time, both qSkills™ GmbH & Co. KG and the customer may withdraw from the registration without any claims being associated. An exception to this are registrations for more than 3 participants of a customer for a scheduled training course. If the customer wishes to cancel more than 3 participants free of charge, they must notify us in writing at least 4 weeks before the start of the course.
Upon sending the appointment confirmation, qSkills™ GmbH & Co. KG may invoice the customer for the booked services. After qSkills™ GmbH & Co. KG has sent the appointment confirmation, the full seminar fee will be charged as compensation in the event of cancellation by the customer. However, the customer has the option of proving that the organizer has incurred lower damages.
The customer is allowed to nominate a replacement participant at no additional cost.
If the organizer cancels the booked workshop after sending the appointment confirmation to the customer, the customer may choose to participate in an equivalent replacement workshop or claim a refund of fees already paid. The customer shall have no further claims.
b) Closed classroom courses and In-house courses
The commissioning of a course on a fixed date by the customer will be confirmed promptly by qSkills™ GmbH & Co. KG (order confirmation). A contractual obligation comes into effect upon order confirmation. Up to 4 weeks before the start of the course, both qSkills™ GmbH & Co. KG and the customer may withdraw from the registration without any claims being associated.
Upon sending the order confirmation, qSkills™ GmbH & Co. KG may invoice the customer for the booked services.
In the event of a cancellation by the customer communicated less than 4 weeks before the start of the course, the full course fee will be charged as compensation. In case of separately itemized travel expenses, the incurred travel cancellation costs will also be charged as compensation. However, the customer has the opportunity of proving that the organizer has incurred lower damages.
After qSkills™ GmbH & Co. KG has sent the order confirmation, in the event of a course postponement by the customer, any resulting travel cancellation/rebooking costs will be invoiced.
If the organizer cancels the booked workshop after sending the course confirmation to the customer, the customer may, at their discretion, choose to arrange another course date with qSkills™ GmbH & Co. KG or claim a refund of fees already paid. The customer shall have no further claims.
11. Reservations
If the customer makes a non-binding declaration of intent to participate in a specific training course, this is defined as a reservation. A reservation is not binding, and qSkills™ reserves the right to cancel a reservation after a period of 14 days and at any time within the 14-day period prior to the start of the course.
12. Direct Customer Relationship
The terms and conditions of qSkills™ GmbH & Co. KG apply regardless of whether the participant pays directly to qSkills™ GmbH & Co. KG or indirectly via vouchers (including manufacturer currencies).
13. Liability
In the event of a training being canceled due to illness of the trainer, force majeure, or other circumstances beyond our control, there shall be no entitlement to the event being conducted or to reimbursement of expenses (e.g., travel or accommodation costs). To the extent permitted by law, we do not guarantee the accuracy of the training content provided. We also do not accept liability for simple negligence. Our liability is limited to the amount of the training costs.
14. Miscellaneous
The place of jurisdiction for all disputes with merchants within the meaning of the German Commercial Code (HGB), legal entities under public law, or special funds under public law shall be the court responsible for Nuremberg. The same place of jurisdiction shall apply if the buyer has no general place of jurisdiction in Germany, moves his place of residence or habitual abode abroad after conclusion of the contract, or his place of residence or habitual abode is not known at the time the action is filed. However, we are also entitled to bring legal action at the customer's place of business. The place of performance for our services and for the customer's payments is Nuremberg. Should individual provisions of this contract be or become invalid in whole or in part, or should there be a gap in this contract, the validity of the remaining provisions shall not be affected. Instead of the invalid provision or to fill the gap, an appropriate provision shall apply that comes closest to what the contracting parties would have wanted or what they would have wanted according to the purpose of this contract if they had considered the point, as far as legally possible.
15. Data Protection
We only use your personal data to the extent necessary to achieve the purpose of the contract. Furthermore, we do not collect any personal information about you unless you voluntarily provide us with this information, and we collect, process, and use personal information in order to provide you with the best possible service.
