Terms of Use for the "qSkills™ Assistant"

1. Scope and Provider

1.1 These Terms of Use of qSkills™ GmbH & Co. KG, Südwestpark 65, 90449 Nuremberg, Germany (hereinafter "qSkills™", "we", or "us") apply to the AI-powered chat assistant "qSkills™ Assistant" (hereinafter the "Service"), which is made available to visitors to the website qskills.de (hereinafter "Users").

1.2 The Service is provided exclusively on the basis of these Terms of Use. The booking of trainings and other services is governed by the General Terms and Conditions of qSkills™; the mere use of the Service is governed solely by these Terms of Use.

2. Description of the Service

2.1 The Service is a free, AI-powered assistant that automatically answers questions about the trainings, exams, accommodation offers, and services of qSkills™ and provides support in selecting suitable trainings. The Service is aimed at companies and professionals and is intended exclusively for enquiries relating to the qSkills™ offering. The answers are generated by means of a language model based on the content of the qSkills™ website; no human interaction takes place.

2.2 The Service is provided "as is" and is subject to continuous further development. qSkills™ is entitled to change the scope of the Service to a reasonable extent for legal, technical, or editorial reasons, to add or remove individual components, and to discontinue the Service at any time. There is no entitlement to the provision of the Service or to any particular functionality.

2.3 qSkills™ does not use the content entered by Users (hereinafter "Input") to train the underlying AI models, nor does it permit third parties to do so. For quality assurance and further development of the Service (for example, to improve the response control and the content of the website), chat histories may be analyzed in accordance with the Privacy Policy.

3. Nature of the Answers; No Advice

3.1 The answers provided by the Service (hereinafter "Output") are generated automatically. Although they are based on carefully maintained data, they may be incomplete, outdated, or incorrect ("hallucinations"); qSkills™ does not guarantee that they are accurate, complete, or up to date.

3.2 Information provided by the Service, in particular on prices, courses, course content, exams, dates, availability, accommodation offers, and participation requirements, is non-binding. Only the information on the course pages, the booking process, and confirmations from the qSkills™ team are binding; in the event of discrepancies between answers of the Service and such information, the latter shall prevail. For accommodation offers, the confirmation of the respective partner hotel shall prevail. For admission, examination, and certification requirements of third parties, solely the provisions of the respective certification body apply.

3.3 The Service is not authorized to make declarations of intent on behalf of qSkills™, to conduct negotiations, to make commitments, or to determine contractual terms. No contracts are concluded via the Service; bookings are made exclusively via the booking process on the website in accordance with the General Terms and Conditions of qSkills™.

3.4 The Service does not provide legal, tax, or other professional advice and does not replace individual advice from qualified persons. Decisions based on recommendations or information provided by the Service are the User's own responsibility. Users are expected to verify material information before using it; in case of uncertainty, the qSkills™ training advisors are available as a personal point of contact.

4. Obligations of the User

4.1 The User is responsible for their Input. The User shall ensure that their Input does not violate applicable law and does not infringe the rights of third parties.

4.2 When using the Service, the following actions are prohibited:

  • entering unlawful, insulting, discriminatory, racist, extremist, or otherwise inadmissible content;

  • entering passwords, payment data, or special categories of personal data (e.g., health data); contact details are to be submitted exclusively via the designated contact form (contact widget), not in the chat;

  • entering personal data of third parties without their consent;

  • entering confidential information or trade secrets (one's own or those of others);

  • attempting to induce the Service, through targeted prompts, to produce undesirable or harmful Output or Output not covered by these Terms of Use ("prompt injection"), or to circumvent security measures;

  • using the Service for unlawful purposes or in a manner evidently not intended by qSkills™, including automated mass queries, "spamming", "flooding", or attacks on the infrastructure underlying the Service;

  • misleading third parties as to the fact that Output of the Service was generated automatically;

  • copying, reverse engineering, decompiling, or otherwise exploiting the Service or its components beyond its intended use.

4.3 qSkills™ reserves the right to review chat histories for compliance with these Terms of Use (in particular Section 4.2), both on a random-sample basis and, where there are concrete indications of violations, on a case-by-case basis; any such review is carried out in compliance with data protection law. In the event of violations, qSkills™ may technically restrict or block the use of the Service and, where there are concrete indications of criminal content, involve law enforcement authorities.

5. Rights to Input and Output

5.1 The User grants qSkills™ the non-exclusive, royalty-free right to use their Input for the purpose of providing the Service (processing, answering, quality assurance pursuant to Section 2.3).

5.2 The Output is provided for the User's own information and use in connection with their enquiry. Users may not systematically collect Output, commercially exploit it as standalone content, or publish or share it in a manner that makes it appear to be a binding statement or commitment of qSkills™.

6. Data Protection

6.1 Information on the processing of personal data when using the Service (including the service providers involved, the storage period for chat histories, and data subject rights) can be found in our Privacy Policy, section "Chatbot".

6.2 If the User wishes to be contacted by the qSkills™ training advisors, the necessary contact details are collected exclusively via the contact widget; the data entered there is transmitted to qSkills™ only when the User submits the form.

6.3 qSkills™ will never ask Users in the chat to enter passwords, payment data, or other sensitive data. Users who nevertheless receive such a request should not enter any data and should report the incident to qSkills™ via the contact page.

7. Availability

7.1 qSkills™ endeavors to keep the Service permanently available but does not guarantee availability. Access may be temporarily restricted, in particular due to maintenance and repair work. Section 2.2 (discontinuation of the Service) remains unaffected.

8. Liability

8.1 qSkills™ shall be liable for damages in connection with the use of the Service, irrespective of the legal grounds, only in accordance with the following provisions.

8.2 In cases of intent and gross negligence, for claims under the German Product Liability Act (Produkthaftungsgesetz), for injury to life, body, or health, and within the scope of a guarantee assumed by qSkills™, qSkills™ shall be liable without limitation in accordance with the statutory provisions.

8.3 In the event of a slightly negligent breach of a material contractual obligation (an obligation whose fulfillment is a prerequisite for the proper performance of the contract in the first place and on whose observance the User regularly relies and may rely), liability shall be limited to compensation for the foreseeable damage typical for this type of contract.

8.4 In all other respects, the liability of qSkills™ is excluded. The above limitations also apply to the personal liability of the employees, representatives, and corporate bodies of qSkills™.

9. Amendments to these Terms of Use

9.1 qSkills™ may amend these Terms of Use with effect for the future, in particular in the event of legal, technical, or functional changes to the Service. The version to which the User has consented before the start of the chat session shall govern. After an amendment, consent to the new version will be obtained again before the start of the next chat session; the date and version are indicated in the document.

10. Final Provisions

10.1 The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

10.2 If the User is a merchant within the meaning of the German Commercial Code (HGB), a legal entity under public law, or a special fund under public law, the exclusive place of jurisdiction for all disputes arising from or in connection with these Terms of Use is Nuremberg. Mandatory statutory places of jurisdiction remain unaffected.

10.3 Should individual provisions of these Terms of Use be or become invalid, the validity of the remaining provisions shall remain unaffected.

10.4 If these Terms of Use are made available in additional languages, the German version shall prevail in the event of discrepancies.
